The general responsibilities of all members of the AAUW Educational Foundation Board of Directors are detailed in the basic Board job description.
The Foundation secretary has the following additional responsibilities
- Serves as chair of the Foundation Bylaws Committee and the Reading Committee for the Annual Meeting of the Foundation.
- Oversees the preparation of the official minutes of the Foundation, the Board of Directors, and Executive Committee.
- Prepares the agenda for the Board and Executive Committee meetings in consultation with the president, executive director and staff.
- Prepares the Key Messages for distribution following Board meetings.
- Oversees the process of appointments to the Board, committees, and panels;
- Develops and revises policies for the Foundation as directed and keeps the policies and working rules of the committees and panels updated in accordance with Board actions.
- Works with committee chairs to facilitate presentation of their recommendations to the Board.
- Develops, with the Foundation Bylaws Committee, proposed amendments to the Foundation Bylaws and presents them to the Foundation for action at the annual meeting.
- Prepares a written report on the Bylaws for the annual meeting of the Foundation.
