Requisite skills and experience:
- Understanding of the legal requirements for documenting meetings
- Knowledge of legal requirements of conducting votes
- Understanding of the oversight responsibility of the Secretary of the Corporation
- Experience in managing an organization’s documents
- Administrative ability organize information and track action items
The responsibilities of all members of the AAUW Board of Directors are:
- Have an understanding of non-profit organizational governance and the role of the Board in implementing the associated best practices
- Attend all Board meetings and participate in AAUW events
- Determine the direction AAUW will take
- Develop and improve policies that implement and define that direction
- Identify and develop future AAUW leadership at all levels
- Represent members' interests
- Represent and promote AAUW to the membership and the public
- Monitor AAUW finance and insure sound fiscal management
- Support the work of the organization with a significant financial contribution
- Possess facility with computing and other technologies
The tasks that accomplish these responsibilities include but are not limited to:
- Work with AAUW Board and staff in a manner consistent with the direction established by the AAUW President and the Executive Director
- Participate in the development of a long range plan and in strategic planning
- Develop strategies to communicate the direction of AAUW to the membership
- Approve the annual budget.
- Review the financial statements on a regular basis
- Review and recommend the public policy program and priorities
- Recommend Bylaws changes and resolution proposals
- Seek out and encourage qualified members for appointed positions, particularly members from underrepresented groups
- Participate in planning and carrying out the Annual Meeting and biennial Convention
- Participate in the meetings of the Board working groups
- Review and approve programs and proposals before the Board
- Participate in leadership training opportunities
- Participate in the preparation of a biennial report to the Convention and submission of a written annual report to the Board
- Maintain confidentiality of Executive Session
- Participate in the Board evaluation process
- Make appointments to AAUW committees
Specific responsibilities:
- Supervise the maintenance of the written record of AAUW through the minutes and policies
- Supervise the appointments process
- Coordinate the business elements of convention
- Serve as chair of the Convention Rules Committee
- Serve as chair of the Reading Committee of the Convention Proceedings
Specific tasks:
- Perform tasks and serve on committees as the President may request
- Prepare the agenda for the AAUW Board of Directors and the Executive Committee meetings in consultation with the President and the Executive Director and with the assistance of staff
- Prepare the "Key Messages" of the AAUW Board meetings
- Supervise the preparation of minutes of Executive Committee conference calls
- Correct the official minutes of the AAUW Board and Executive Committee meetings
- Review and update the Policies of AAUW, presenting significant changes to the Board for approval
